CONSTITUTION OF THE FRIENDSHIP ASSOCIATION
OF CHINESE STUDENTS AND SCHOLARS


ARTICLE I -GENERAL
Section 1: The official name of this organization shall be the Friendship Association of Chinese Students and Scholars at University of Minnesota, abbreviated as FACSS.

Section 2: FACSS shall be a non-profit student organization that provides the opportunities for the students of the University of Minnesota and the general public to explore the Chinese culture through building friendship with the students and scholars from China.

Section 3: FACSS shall abide by the applicable rules and policies of the University of Minnesota pertaining to student organizations.

Section 4: FACSS shall exist for the following purposes:

a. To promote cultural diversity of the university community through promoting the Chinese culture;
b. To strengthen contact and to promote friendship among its members;
c. To help Chinese students and scholars with their living and academic adjustments.

ARTICLE II - MEMBERSHIP
Section 1: Membership is open to all students and scholars of the University of Minnesota and the general public who is in good standing and assenting to Article I, without regard to race, religion, color, sex, national origin, disability, age, veteran status, creed, marital status, public assistance status, or sexual orientation.
Section 2: Two-thirds of the voting membership shall consist of the registered students of the University of Minnesota.
Section 3: Membership expires after one graduating from (for student members) or stopping working for (for scholar members) University of Minnesota.

Section 4: One will become a member after registration with FACSS.
Section 5: No membership fee shall be imposed without the consent of the membership meeting.

ARTICLE III - EXECUTIVE COMMITTEE
Section 1: The Executive Committee represents FACSS to perform the duty of executive power of internal, foreign, and financial affairs.

Section 2: The Executive Committee consists of all elected officers of this Association (Presidential appointees, although may attend the Executive Committee meetings, are not members of the Executive Committee and do not have the voting rights in the Executive Committee meetings).

Section 3: Members of the Executive Committee shall be elected at the FACSS annual membership meeting by a majority vote. The Executive Committee is in charge of FACSS affairs immediately after the annual membership meeting for a full year.

Section 4: The Executive Committee may appoint officers of this Association.

Article IV-BOARD OF OFFICERS
Section 1: The Board of Officers is responsible for managing routine activities and organizing special events approved by the Executive Committee. The officers shall be members of FACSS.

Section 2: The officers shall be nominated by the President and approved by the Executive Committee, with the exception of the President himself/herself, whom is to be elected by the membership meeting.

Section 3: A Board meeting shall be held once each month.
Section 4: The duties of the Officers are as follows:

a. President-Preside over all meetings of FACSS and serve as the Chairperson of the Executive Committee. Act as the official representative of FACSS at other meetings and events. The President shall be a registered student at the University of Minnesota and shall be elected by the membership meeting.
b. Vice President(s)-Preside over the meetings in the absence of the President. Upon approval by the Executive Committee, one Vice President shall perform the duty of the President if the President is unable to complete his/her term of office before a new President is elected.
c. Secretary-Record and produce minutes of all meetings. Handle the correspondence.
d. Treasurer-Handle all financial transactions of FACSS. Maintain thorough and accurate records of all transactions. Produce financial reports.
e. Other officers-Duties of other officers are decided by the Executive Committee.

Section 5: The officers are subject to recall for misconduct by the Executive Committee. Misconduct is to be defined and determined by any member of the Executive Committee and may include, but not limited to, failure to perform duties, misuse of funds, and related transgressions. Officers to be recalled shall be given a seven-day notice in advance before the Executive Committee meeting and an opportunity to respond. Relinquishment shall require a majority vote within the Executive Committee.
Section 6: To resign, an officer shall give a two-week notice in advance to the President. He/she shall continue to perform the duties until the position is assigned, or two weeks is up, whichever occurs first.

ARTICLE V-MEMBERSHIP MEETINGS AND ELECTIONS
Section 1: An annual membership meeting shall be held each year to elect the President and the Executive Committee of FACSS. If proposed, By-laws and Amendments to the Constitution shall also be approved by the membership meeting.

Section 2: An emergency membership meeting shall be called by the Executive Committee under the following conditions:

a. The President of FACSS resigns, and there is more than two months left on his/her term of office.
b. More than two seats in the Executive Committee need to be filled in due to resignation or relinquishment of the executive members.
c. Petition for an emergency membership meeting by more than ten percent of the members plus one.

Section 3: The date and agenda for all membership meetings shall be announced to FACSS membership at least three weeks in advance, by email list and by updating the FACSS website.
Section 4: Members who register at least ten days prior to the date of the membership meeting are qualified to vote at the meeting, or to run for the President or the Executive Committee member.
Section 5: Candidates for the President or the Executive Committee members shall send the application to the current Executive Committee at least ten days prior to the date of the membership meeting. Candidate information shall be announced to FACSS membership at least one week in advance, by email list and by updating the FACSS website.

ARTICLE VI-FINANCIAL MATTERS
Section 1: FACSS shall not provide monetary gain, incidentally or otherwise to its directors, Advisors or membership. This does not restrict the payments of wages, salaries or incentives by FACSS for services rendered.

Section 2: Unless otherwise specified by the membership at the time of dissolution of the organization, residual assets shall be distributed to the Student Activities Office of the University of Minnesota.

ARTICLE VII-BY-LAWS
Section 1: By-laws may be proposed by the membership and may be adopted by a majority vote of those present at a membership meeting.

ARTICLE VIII-AMENDMENTS
Section 1: Amendments to the Constitution shall be proposed by a quorum, which shall consist of ten percent of the membership plus one. Such proposals shall be submitted in writing to the Executive Committee at least two months prior to the membership meeting at which the proposed amendment is to be voted. The Executive Committee shall announce the amendment proposal to all membership at least one month prior to the membership meeting. Amendments shall be approved by a two-thirds majority vote of the membership present.

The Executive Committee reserves the right to interpret the Constitution when the membership meeting is not in session.
